Terms of Service & Copyright Policy

These Terms govern the rights, licensing, and usage conditions of audio data ('the Audio') produced and provided by Voice Actor & Narrator Hinoto Ginto ('the Creator'). Clients are deemed to have agreed to all provisions herein upon ordering or receiving the Audio.

Article 1 (Neighboring Rights & Grant of License)

1. All moral rights and neighboring rights (performer's rights, including recording, transmission, and distribution rights) under copyright law remain the exclusive property of the Creator.
2. The Creator grants the Client a non-exclusive license to use the Audio solely within the scope of purpose, media, and timeframe agreed upon prior to production.
3. Complete transfer/buyout of rights is not granted unless explicitly agreed upon under a separate written agreement.

Article 2 (License Categories & Permitted Usage)

The Client shall utilize the Audio in accordance with the license category selected at the time of quotation.

  • Personal / Non-Commercial License: Personal listening or strictly non-profit works without monetization.
  • Indie & Doujin Works License: Paid distribution and monetized streaming of indie games, voice dramas, and creative titles.
  • Corporate & Commercial License: Corporate websites, internal training, commercial applications, and promotional media.
  • Promotional & Advertising License: Commercial ads on Web, YouTube, TV/Radio broadcasts, and point-of-sale promotions.

Article 3 (Secondary Use & Additional Media)

1. Utilizing the Audio for purposes or media beyond initial agreement requires prior consultation and additional licensing fees.
2. Unauthorized secondary usage shall entitle the Creator to immediately demand cessation of use and claim liquidated damages equivalent to three times the regular licensing fee.

Article 4 (Strict Prohibition of AI Learning & Voice Synthesis)

To protect the integrity and distinct value of the Creator's voice, the following actions are strictly prohibited under all circumstances:

  • Using, uploading, or providing the Audio as training data for Text-to-Speech (TTS), Voice Conversion (VC), or any artificial intelligence / machine learning model.
  • Generating synthetic voice models, cloned voices, or derivative AI voice outputs based on the Audio without express written consent.
  • Including the Audio in any public or private deep learning datasets.

※ In the event of a breach, the Creator shall immediately demand the destruction of the AI model and suspension of distribution, and reserves the right to seek full legal damages and penalties.

Article 5 (Prohibited Activities)

The following activities are strictly prohibited when using the Audio:

  • Use in content contrary to public order and morality, criminal activities, or defamatory attacks on individuals/organizations.
  • Malicious audio tampering, excessive deceptive clipping, or generating deepfakes that damage the Creator's reputation.
  • Reselling, redistributing, or sub-licensing the raw Audio to third parties.

Article 6 (Credit Attribution & Portfolio Display)

1. Clients are requested to provide credit attribution ('Hinoto Ginto' or 'ひのと壬砥') wherever feasible.
2. The Creator reserves the right to feature deliverables in official portfolios and social media as production credits. If confidentiality is required, please notify the Creator upon ordering.

Article 7 (Payment & Transaction Procedures)

1. The Client shall remit production fees to the Creator's designated bank account by the specified due date.
2. Bank transfer fees shall be borne by the Client.
3. New or individual clients are required to make full advance payment prior to final delivery. Corporate clients may request post-delivery invoicing subject to separate agreement.
4. Financial transaction receipts shall serve as official proof of payment in lieu of separate tax receipts.

Article 8 (Amendments & Governing Law)

1. These Terms may be amended at the Creator's discretion. Orders placed after amendments shall be governed by updated Terms.
2. These Terms shall be governed by and construed in accordance with the laws of Japan.
